The Corporate Governance Officer

The Company approved by resolution of the Board of Directors the establishment of the position of Corporate Governance Officer, to be concurrently assumed by the Manager of the Finance and Accounting Department. The appointee possesses qualifications of having served for more than three years in a managerial position in a public company in departments related to legal affairs, regulatory compliance, internal audit, finance, accounting, shareholder services, or corporate governance.

Functions of the Corporate Governance Officer include:
1. Handling matters relating to meetings of the Board of Directors and shareholders in accordance with the law.
2. Preparing minutes of meetings of the Board of Directors and shareholders.
3. Assisting directors with onboarding and continuing education.
4. Providing directors with information required for business execution.
5. Assisting directors in complying with laws and regulations.
6. Reporting to the Board of Directors on the results of its review of whether Independent Directors meet the relevant laws and regulations at the time of nomination, election, and during their term of office.
7. Handling matters related to changes of directors.
8. Performing other matters as stipulated in the Articles of Incorporation or contracts.
